Welcome to Off-plan Engine ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website and services.

By accessing or using Off-plan Engine, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Services Description

Off-plan Engine provides data entry services for real estate brokers and agents ("Client" or "you"). Our services include:

• Adding off-plan property project details to your website
• Uploading property information, images, descriptions, floor plans, and related content
• Formatting and organizing property listings according to your website structure
• Providing data entry support for real estate listings

Our services are provided on a per-project basis at the rate of 0.5 AED per project, unless otherwise agreed in writing.

2. User Eligibility

You must be:

• At least 18 years of age
• A registered real estate broker or agent, or authorized to act on behalf of one
• Legally able to enter into binding contracts

By using our services, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To use our services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Service Usage and Obligations

4.1 Your Responsibilities

You agree to:

• Provide accurate and complete property information for data entry
• Ensure you have the legal right to publish all content provided to us
• Provide access credentials to your website when necessary
• Review and approve uploaded content within reasonable timeframes
• Maintain a lawful and functional website

4.2 Prohibited Uses

You may NOT:

• Provide false, misleading, or fraudulent property information
• Upload illegal, defamatory, or infringing content
• Use our services to violate any laws or regulations
• Attempt to access our systems without authorization
• Resell our services without written permission
• Use our services to spam or send unsolicited communications

5. Payment Terms

5.1 Pricing

• Standard rate: 0.5 AED per off-plan project added to your website
• Custom pricing may apply for bulk orders or special requirements
• All prices are in United Arab Emirates Dirhams (AED)

5.2 Payment Process

• Payment is required before service delivery unless otherwise agreed
• We accept payment via bank transfer, credit card, or other approved methods
• You are responsible for all transaction fees imposed by payment processors

5.3 Refunds

• Refunds may be issued at our discretion for work not completed as agreed
• No refunds for completed work that meets the agreed specifications
• Disputed charges must be reported within 7 days of service delivery

5.4 Late Payment

• Unpaid invoices may result in service suspension
• Interest may be charged on overdue amounts at the rate of 2% per month
• We reserve the right to pursue legal action for non-payment

6. Intellectual Property

6.1 Your Content

You retain all ownership rights to the property information, images, and content you provide ("Client Content"). By using our services, you grant us a limited license to:

• Access, use, and modify Client Content solely for providing our services
• Store Client Content on our servers during service delivery
• Display Client Content on your website as instructed

6.2 Our Property

All rights, title, and interest in our website, software, trademarks, and service methods remain our exclusive property. You may not:

• Copy, modify, or distribute our proprietary materials
• Reverse engineer our systems or processes
• Use our name or branding without written permission

7. Data and Privacy

We collect and process data in accordance with our Privacy Policy. Key points:

• We handle your property data and website credentials securely
• We do not sell or share your data with third parties without consent
• You are responsible for obtaining necessary consents for any personal data in your content

8. Service Delivery and Quality

8.1 Turnaround Time

• Standard turnaround: 48 hours for most projects
• Turnaround times may vary based on project complexity and volume
• We will notify you of any significant delays

8.2 Quality Standards

We will:

• Format content professionally and consistently
• Upload content to the correct locations on your website
• Check for basic errors and formatting issues
• Provide reasonable revisions if work does not meet agreed specifications

8.3 Your Approval

• You must review and approve uploaded content
• Report any issues within 7 days of delivery
• Approval is considered given if no issues are reported within 14 days

9. Warranties and Disclaimers

9.1 Limited Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. This is your sole and exclusive warranty.

9.2 Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE"
• WE MAKE NO WARRANTIES REGARDING UNINTERRUPTED OR ERROR-FREE SERVICE
• WE DO NOT WARRANT THAT OUR SERVICES WILL MEET YOUR REQUIREMENTS
• WE ARE NOT RESPONSIBLE FOR CONTENT PROVIDED BY YOU OR THIRD PARTIES
• WE DO NOT GUARANTEE SPECIFIC RESULTS OR OUTCOMES FROM OUR SERVICES

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1 No Consequential Damages

We are not liable for any indirect, incidental, special, consequential, or punitive damages including:

• Lost profits or revenue
• Loss of data or information
• Business interruption
• Reputational harm

10.2 Maximum Liability

Our total liability for any claim related to our services is limited to the amount you paid us in the 3 months preceding the claim, or 500 AED, whichever is less.

10.3 Exceptions

These limitations do not apply to:

• Our gross negligence or willful misconduct
• Violations of applicable law
• Personal injury or property damage caused by our negligence
• Any liability that cannot be limited by law

11. Indemnification

You agree to indemnify, defend, and hold harmless Off-plan Engine, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any laws or regulations
• Content you provide to us
• Your use of our services
• Infringement of third-party rights by your content

12. Website Access and Credentials

12.1 Access Requirements

To provide our services, you may need to provide us with:

• Website admin credentials
• FTP/hosting access
• CMS login information
• API keys or integration access

12.2 Security

We will:

• Store credentials securely using industry-standard encryption
• Use credentials only for authorized service delivery
• Not share credentials with unauthorized parties
• Delete credentials upon service completion or your request

12.3 Your Responsibility

You are responsible for:

• Ensuring credentials are valid and provide necessary access
• Updating credentials if they change
• Any unauthorized access resulting from your security failures
• Backing up your website before we begin work

13. Content Standards

All content uploaded through our services must:

• Be accurate and not misleading
• Not infringe any intellectual property rights
• Comply with all applicable real estate advertising laws
• Not contain illegal, harmful, or offensive material
• Include all required legal disclosures

We reserve the right to refuse to upload content that violates these standards.

14. Modifications to Services and Terms

14.1 Service Changes

We may modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

14.2 Terms Changes

We may update these Terms from time to time. Changes will be effective:

• Immediately for new users
• 30 days after posting for existing users

Continued use after changes constitutes acceptance of modified Terms.

15. Termination

15.1 By You

You may terminate your account at any time by contacting us. You remain liable for all charges incurred before termination.

15.2 By Us

We may terminate or suspend your access immediately if you:

• Violate these Terms
• Provide false information
• Engage in fraudulent activity
• Fail to pay amounts owed
• Create risk or legal exposure for us

15.3 Effect of Termination

Upon termination:

• Your right to use our services ends immediately
• We may delete your account and data
• Outstanding payment obligations remain in effect
• Provisions that by nature should survive will continue (liability, indemnity, etc.)

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles.

16.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

16.3 Informal Resolution

Before filing any legal action, you agree to contact us to attempt informal resolution of the dispute.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Off-plan Engine regarding our services.

17.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full effect.

17.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control.
